Terms of Service

These Terms of Service ("Terms") govern your use of the Pantri iOS application ("the App"), operated by Pantri ("we," "us," or "our"), a product of NAV-INT-LLC. By downloading, installing, or using Pantri, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Acceptance of Terms

By accessing or using Pantri, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. You represent that you are at least 13 years of age (or the age of digital consent in your jurisdiction, whichever is higher).

2. The App

2.1 Description

Pantri is a food expiry tracker with on-device AI recipe generation. It helps you track food items, receive expiry alerts, generate personalized recipes using items nearing expiry, and manage a shopping list.

2.2 License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use Pantri on any Apple-branded device that you own or control, solely for your personal, non-commercial use, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

2.3 App Store

These Terms are between you and us, not Apple Inc. ("Apple"). Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support services. To the extent permitted by applicable law, Apple has no warranty obligation whatsoever. Apple is not responsible for addressing any claims by you or any third party relating to the App, including product liability claims, failures to meet legal or regulatory requirements, and claims under consumer protection or similar legislation. Apple is not responsible for investigating, defending, settling, or discharging any third-party claim that the App infringes intellectual property rights. You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, Apple will have the right to enforce these Terms against you as a third-party beneficiary.

3. Pantri Pro Subscription

3.1 Subscription Details

Pantri offers an optional auto-renewing subscription ("Pantri Pro") with the following features: unlimited pantry tracking, barcode and receipt scanning, on-device AI recipe generation, guided Cooking Mode, auto shopping list, savings dashboard, and iCloud sync across your own devices. Subscription plans and pricing are displayed in the App and are subject to change with notice.

3.2 Payment

All payments are processed by Apple through your iTunes/App Store account. Payment will be charged to your Apple ID account at confirmation of purchase. You are responsible for any data charges, taxes, or fees imposed by your payment provider.

3.3 Auto-Renewal

Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage and cancel your subscription in your device's Settings → [Your Name] → Subscriptions.

3.4 Free Trial

Any free trial period is offered at our discretion. At the end of the trial, your subscription will automatically convert to a paid subscription unless cancelled. Only one free trial per Apple ID.

3.5 Refunds

Refund requests are handled by Apple. We do not process refunds directly. To request a refund, visit reportaproblem.apple.com.

3.6 Price Changes

We reserve the right to change subscription prices. Price changes will be communicated through the App Store and, where required, with your consent before the new price takes effect.

5.1 Our IP

Pantri, its name, logo, design, graphics, source code, and all related intellectual property rights are owned by us or our licensors. These Terms grant you a license to use the App, not ownership of any intellectual property.

5.2 AI-Generated Content

Recipe content generated by the App using on-device AI is provided for your personal use. While the AI generates novel combinations, the underlying AI model is provided by Apple and governed by Apple's terms for Foundation Models. You are responsible for verifying the safety and suitability of generated recipes before cooking.

5.3 Feedback

Any suggestions, ideas, or feedback you provide about the App may be used by us without restriction or compensation to you.

6. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

You are solely responsible for verifying the freshness and safety of food items. Expiry dates displayed in the App are estimates based on information you provide. Always use your own judgment and follow food safety guidelines.

If you are a consumer in the European Economic Area, United Kingdom, or other jurisdiction that prohibits the exclusion of certain warranties, the above exclusions may not apply to you. In such cases, our liability is limited to the maximum extent permitted by law.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR PANTRI PRO IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) FIFTY DOLLARS (USD $50.00).

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless us and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

Your use of these services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

10. Termination

We reserve the right to suspend or terminate your access to the App at any time, with or without cause, with or without notice. Upon termination, your right to use the App will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may terminate these Terms at any time by deleting the App from your device and cancelling any active subscriptions through Apple.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. If you are a consumer in the European Economic Area or United Kingdom, you may also be entitled to the protection of mandatory consumer protection laws of your country of residence.

11.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the App shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally, it shall be resolved by binding arbitration in San Francisco County, California, in accordance with the rules of the American Arbitration Association. Judgment on the arbitration award may be entered in any court having jurisdiction. This clause does not preclude you from bringing claims in your local small claims court if they qualify.

11.3 Class Action Waiver

To the maximum extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial.

11.4 EU Online Dispute Resolution

If you are a consumer in the European Union, you may have the right to use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted within the App and are effective immediately upon posting. Your continued use of the App after any changes constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the App.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App and supersede any prior agreements.

13.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.

13.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, pandemic, natural disaster, or failure of third-party services.
